1. About These Terms
These Terms & Conditions apply to the services provided by Source Europe Solutions to business clients. By purchasing a service, submitting a sourcing brief, or otherwise engaging Source Europe Solutions, you agree to these Terms & Conditions.
Source Europe Solutions provides supplier sourcing and procurement support services, primarily focused on identifying, assessing and connecting UK businesses with manufacturers and suppliers across Europe.
2. Our Services
Source Europe Solutions provides business-to-business supplier sourcing and procurement support services. Depending on the service selected, this may include supplier research, supplier assessment, supplier shortlisting, supplier outreach, response comparison, RFQ preparation and sourcing recommendations.
The exact scope of each project will depend on the service purchased and the information provided by the client. Any additional work outside the agreed scope may require a separate quotation.
3. Client Responsibilities
Clients are responsible for providing accurate, complete and up-to-date information about their sourcing requirements. This may include product specifications, quantities, target pricing, required certifications, preferred locations and any other information relevant to the project.
Source Europe Solutions is not responsible for delays, additional work or unsuitable search results arising from incomplete, inaccurate or misleading information supplied by the client. Clients remain responsible for reviewing the information provided and making their own final purchasing and supplier selection decisions.
4. Supplier Information and Due Diligence
Source Europe Solutions carries out supplier research and assessment using information provided by suppliers, publicly available sources and other information reasonably available at the time of the project.
While reasonable care is taken when researching and presenting supplier information, Source Europe Solutions does not warrant or guarantee that any information provided by a supplier or third party is accurate, complete, current or suitable for the client’s intended purpose.
Unless expressly agreed in writing as part of the project scope, Source Europe Solutions does not carry out factory audits, financial audits, legal due diligence, product inspections, product testing, certification verification or regulatory compliance assessments.
The client remains responsible for carrying out any technical, commercial, financial, legal, quality, regulatory or other due diligence it considers necessary before entering into any agreement with a supplier.
5. No Guarantee of Supplier Performance
Source Europe Solutions provides supplier sourcing and procurement support services only and does not manufacture, supply, sell, inspect or certify any products offered by third-party suppliers.
Identification, assessment or recommendation of a potential supplier does not constitute a guarantee or endorsement of that supplier, its products, services, financial position, regulatory compliance or future performance.
Source Europe Solutions cannot guarantee that any supplier will respond to an enquiry, provide a quotation, meet a target price, accept requested commercial terms, provide samples, meet required lead times or successfully fulfil any future order.
Any decision to engage a supplier is made by the client. Any purchase order, supply agreement or other commercial contract entered into between the client and a supplier is separate from the services provided by Source Europe Solutions, and Source Europe Solutions is not a party to that agreement.
6. Fees and Payment
Fees for Supplier Discovery and Verified Supplier Search are payable in full before work begins unless otherwise agreed in writing.
Managed Sourcing projects and any additional services are subject to the scope and price agreed with the client before work begins. Payment terms will be confirmed as part of the relevant quotation or project confirmation.
All prices shown on the website are in GBP unless otherwise stated. Any applicable taxes will be shown where required.
7. Project Timescales
Any turnaround times shown on the website or communicated to the client are estimates and begin once payment has been received and sufficient information has been provided to start the project.
Supplier response times are outside the control of Source Europe Solutions. Managed Sourcing projects may therefore take longer where suppliers are slow to respond or where additional information is required. We will communicate any material delay where reasonably possible.
8. Changes to the Sourcing Brief
The service purchased is based on the sourcing brief submitted by the client. Significant changes to the product, specification, quantity, sourcing geography or other key requirements after work has started may fall outside the original project scope.
Where additional work is required, Source Europe Solutions may provide a separate quotation before continuing with the revised requirements.
9. Cancellations and Refunds
If a client wishes to cancel a project, they should contact Source Europe Solutions as soon as possible at hello@sourceeuropesolutions.co.uk.
Where work has not yet started, Source Europe Solutions may agree to cancel the project and issue a refund. Once research or other project work has started, fees may be non-refundable or a refund may be reduced to reflect work already completed.
Any refund will be considered based on the circumstances of the project and the amount of work already undertaken.
10. Confidentiality
Source Europe Solutions will take reasonable care to keep confidential any non-public commercial information provided by the client for the purpose of completing a sourcing project.
Where necessary to perform the agreed service, relevant information may be shared with potential suppliers. Clients should clearly identify any information that must not be disclosed to suppliers.
Clients should only provide confidential or commercially sensitive information that is reasonably necessary for the sourcing project.
11. Intellectual Property
Any reports, supplier comparisons or other materials prepared specifically for the client by Source Europe Solutions may be used by the client for their internal business purposes.
Source Europe Solutions retains ownership of its underlying research methods, templates, processes and know-how. The client may not resell, reproduce or commercially distribute Source Europe Solutions reports or materials to third parties without prior written permission.
Supplier information, trademarks, product information and other third-party materials remain the property of their respective owners.
12. Relationship with Suppliers
Source Europe Solutions acts as an independent sourcing service provider and does not act as the manufacturer, seller, distributor or agent of any supplier identified during a sourcing project unless expressly agreed otherwise in writing.
The client is responsible for negotiating and entering into any purchase agreement directly with the chosen supplier. Supplier quotations, terms, warranties, payment conditions and delivery arrangements are subject to agreement between the client and the supplier.
Source Europe Solutions does not have authority to enter into contracts or make commitments on behalf of the client or any supplier unless expressly agreed in writing.
13. Limitation of Liability
Source Europe Solutions will provide its services with reasonable care and skill.
Our services are limited to supplier sourcing, research, assessment, comparison and related procurement support. Source Europe Solutions does not manufacture, supply, inspect, test or certify any products and does not control the performance, conduct or commercial decisions of third-party suppliers.
Source Europe Solutions will not be responsible for any loss, damage, delay, cost or liability arising from the acts, omissions, products, services, quotations, pricing, delivery performance, quality, regulatory compliance or contractual performance of any supplier identified or contacted through our services.
The client remains responsible for carrying out any final technical, commercial, legal, financial, quality or regulatory due diligence considered necessary before entering into any agreement with a supplier.
To the fullest extent permitted by law, Source Europe Solutions will not be liable for any indirect or consequential loss, loss of profit, loss of revenue, loss of business, loss of opportunity, loss of anticipated savings, loss of production, loss of goodwill or loss arising from the client's decision to engage, reject or discontinue engagement with any supplier.
Subject to any liability which cannot lawfully be excluded or limited, the total aggregate liability of Source Europe Solutions arising out of or in connection with a particular project shall not exceed the total fees paid by the client to Source Europe Solutions for that project.
Nothing in these Terms & Conditions excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability which cannot lawfully be excluded or limited.
14. Data Protection
Personal information provided through the website, sourcing forms or during a project will be handled in accordance with our Privacy Policy.

15. Events Outside Our Control
Source Europe Solutions will not be responsible for delays or failure to perform its obligations where this is caused by circumstances outside its reasonable control, including supplier disruption, communications failures, technical problems, industrial action, transport disruption, natural disasters, government restrictions or other comparable events.
16. Termination
Source Europe Solutions may suspend or terminate a project where the client fails to make an agreed payment, provides unlawful or misleading information, behaves abusively, or requests services that cannot reasonably or legally be provided.
Where a project is terminated, the client remains responsible for any fees relating to work already completed. Source Europe Solutions may also terminate or suspend a project where the client fails to provide information or cooperation reasonably required to complete the agreed services.
17. Governing Law
These Terms & Conditions and any dispute arising from them are governed by the laws of England and Wales.
The courts of England and Wales will have jurisdiction in relation to any dispute arising from these Terms & Conditions or the services provided by Source Europe Solutions.
18. Changes to These Terms
Source Europe Solutions may update these Terms & Conditions from time to time. The version applicable to a project will be the version in effect when the client purchases or confirms the relevant service.
